A gathering storm or a tempest in a teapot? Corporate executives and boards are facing the dilemma of what the coming proxy season holds given the various regulatory changes. While the final rules on proxy access have been stayed by the SEC for the time being, there are a host of other issues that CEOs and their boards need to manage in the fast-approaching proxy season. These include:

  • The impact of key executive compensation and corporate governance changes implemented under the Dodd-Frank Act, including the right to demand clawbacks
  • Executive compensation trends and how they are likely to change as a result of the new regulations
  • What shareholder proposals can be expected in the coming year
  • What will hedge funds and other activists be doing in 2011 and what to expect in the areas of hostile M&A activity and defense strategies in the new year
